1. Acceptance of Terms

By accessing or using the TriCore Partners website and platform (collectively, the "Platform"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not access or use the Platform.

2. About TriCore Partners

TriCore Partners is a risk advisory firm incorporated in Canada. The Platform is owned and operated by TriCore Partners. References to "we," "us," or "our" refer to TriCore Partners.

3. Platform Use

The Platform is provided for professional use in connection with risk advisory services, candidate evaluation, and talent management. You agree to:

• Use the Platform only for its intended professional purpose
• Comply with all applicable laws and regulations
• Not attempt to access areas of the Platform for which you are not authorized
• Not interfere with or disrupt the Platform's operation
• Not use automated tools to scrape, crawl, or extract data from the Platform

4. Account Responsibilities

If you create an account on our Platform, you are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Providing accurate, current, and complete information
• Promptly updating your information if it changes
• Notifying us immediately of any unauthorized use of your account

5. Content Accuracy

You represent and warrant that all information you provide through the Platform, including your CV, professional experience, qualifications, and assessment responses, is accurate, truthful, and not misleading. Providing false or materially misleading information may result in immediate account termination and exclusion from consideration for engagements.

6. Assessment & Evaluation

By completing assessments on our Platform, you acknowledge and agree that:

• Your responses will be evaluated by TriCore Partners for the purpose of assessing professional suitability
• Assessment results are used as one factor among several in our evaluation process
• Completion of an assessment does not guarantee an offer of engagement
• Assessment content is proprietary and confidential — you may not reproduce, share, or disclose assessment questions or content

7. Intellectual Property

All content, design, functionality, trademarks, and intellectual property on the Platform are owned by or licensed to TriCore Partners and are protected by applicable intellectual property laws. You may not:

• Reproduce, distribute, or create derivative works from Platform content
• Use our trademarks, logos, or branding without written permission
• Frame, embed, or mirror any part of the Platform
• Reverse engineer any software or functionality of the Platform

8. Confidentiality

You agree to keep confidential any proprietary information you may access through the Platform, including but not limited to assessment content, evaluation methodologies, client information, and other candidates' information if inadvertently disclosed. This obligation survives termination of your account.

9. Professional Advice Disclaimer

Content on the Platform, including articles, insights, and service descriptions, is provided for informational purposes only and does not constitute professional advice. You should not act on any content without seeking appropriate professional counsel. TriCore Partners' advisory services are provided only under formal engagement agreements.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TRICORE PARTNERS DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRICORE PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless TriCore Partners, its partners, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these terms, or your violation of any third-party rights.

13. Termination

We reserve the right to suspend or terminate your account at our discretion, with or without notice, for conduct that we reasonably believe violates these terms, is harmful to the Platform, other users, or our business interests. Upon termination, your right to use the Platform ceases immediately. Sections 7, 8, 10, 11, and 12 survive termination.

14. Governing Law & Dispute Resolution

These terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Montreal, Quebec, Canada.

15. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Modifications

We may modify these terms at any time by posting the revised version on the Platform. Material changes will be communicated through the Platform or by email. Your continued use of the Platform after any changes constitutes acceptance of the revised terms.
